1. Acceptance of Terms

By accessing and using Kiwi's fuel retail management system ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Kiwi provides a cloud-based fuel retail management system that includes operational monitoring, inventory management, variance detection, financial reporting, and related features. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Restrictions

  • You must be at least 18 years old to use the Service
  • You may not share your account with others
  • You may not use the Service for any illegal purposes
  • You may not attempt to gain unauthorized access to the Service

4. Acceptable Use

You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to interfere with or disrupt the Service or servers
  • Access the Service through automated means (bots, scrapers, etc.) without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels

5. Data and Privacy

5.1 Your Data

You retain all rights to the data you input into the Service ("Customer Data"). You grant us a license to use, store, and process Customer Data solely for the purpose of providing the Service.

5.2 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

5.3 Multi-Tenant Isolation

Kiwi is a multi-tenant platform. We maintain strict data isolation between tenants. Your data will not be accessible to other organizations using the Service.

6. Payment Terms

6.1 Fees

Fees for the Service are based on your selected plan and usage. All fees are quoted and payable in the currency specified in your agreement.

6.2 Billing

Fees are billed in advance on a monthly or annual basis, as specified in your plan. Payment is due upon receipt of invoice.

6.3 Late Payment

If payment is not received within 30 days of the due date, we reserve the right to suspend or terminate your access to the Service.

7. Termination

7.1 By You

You may terminate your account at any time by contacting us. Termination will be effective at the end of your current billing period.

7.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice.

7.3 Effect of Termination

Upon termination, your access to the Service will cease. We will provide you with an opportunity to export your data within 30 days of termination, after which we may delete your data.

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is registered, without regard to conflict of law provisions.
